Please read these Terms and Conditions ("Terms") carefully before using the website reviewengine.lorayos.com or the services offered by Loray Os ("Loray Os," "we," "us," or "our") (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
Loray Os provides an automated review-generation and reputation management platform that helps businesses request, collect, respond to, and route customer reviews (including via connection to a Google Business Profile) through automated text and email communications, review response automation, and related CRM integrations.
2. Eligibility and Account Registration
To use the Service, you must be at least 18 years old and able to form a binding contract. When you create an account, you agree to provide accurate and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
3. Subscription Plans, Billing, and Free Trial
The Service is offered on a subscription basis (currently Starter, Growth, and Pro plans, as described on our pricing page), billed monthly.
We offer a 14-day free trial. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan, and you will be billed according to your selected plan.
All payments are processed through Stripe. By subscribing, you authorize us (via Stripe) to charge your chosen payment method on a recurring basis until you cancel.
Subscriptions automatically renew each billing period unless canceled prior to the renewal date.
You may cancel at any time. Cancellation will take effect at the end of the current billing period, and no long-term contract or early termination penalty applies.
Fees are non-refundable except as required by law or as otherwise stated at the time of purchase.
We reserve the right to change our pricing with reasonable advance notice.
4. Customer Data and Consent Responsibilities
When you use the Service to send review requests or communications to your own customers, you are solely responsible for:
Obtaining all necessary consent from your customers to be contacted via text and/or email
Complying with all applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any state-specific consumer protection or texting laws
Ensuring the accuracy of any customer contact information you upload or integrate into the Service
Loray Os is not responsible for your failure to obtain proper consent or comply with applicable communications laws, and you agree to indemnify us for any claims arising from such failure.
5. Acceptable Use
You agree not to:
Use the Service to send spam, unsolicited, or unlawful communications
Use the Service to post, request, or incentivize fake, fraudulent, or incentivized reviews in violation of Google's policies or applicable law
Attempt to interfere with, disrupt, or gain unauthorized access to the Service or its systems
Use the Service in violation of any applicable law or third-party rights
Reverse engineer, resell, or sublicense the Service without our written consent
We reserve the right to suspend or terminate accounts that violate this section.
6. Third-Party Integrations
The Service integrates with third-party platforms, including Google Business Profile, Stripe, and your CRM. Your use of these integrations is subject to the respective third party's terms and policies. We are not responsible for the availability, accuracy, or practices of third-party platforms, and integrations may change or be discontinued if the third party changes its API or policies.
7. Intellectual Property
All content, software, trademarks, and materials associated with the Service are owned by Loray Os or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes, subject to these Terms. You retain ownership of your own business data and customer information.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS, SUCH AS A SPECIFIC NUMBER OF REVIEWS, RATING IMPROVEMENT, OR REVENUE INCREASE, FROM USE OF THE SERVICE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LORAY OS AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Loray Os from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.
11. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason, with or without notice. You may terminate your account at any time by canceling your subscription. Upon termination, your right to use the Service will immediately cease.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Pennsylvania, United States.
13. Changes to These Terms
We may modify these Terms from time to time. We will post the updated Terms on this page with a revised "Last Updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
